Trade Terms

1. Who these apply to
These Trade Terms apply to all customers buying in bulk for kitchen use or resale. They apply in addition to our Terms of Use and take precedence on the supply of goods.
2. Rates and quotations
Rates are shared privately on request and hold for 7 days unless stated otherwise. All rates are ex-godown and do not include transport, insurance or any charge made by a transport company. GST is charged at the applicable rate and shown on the bill. Some goods are exempt or nil-rated and are billed accordingly.
Rates are what they are because transport, insurance and transit risk are shown separately and honestly instead of being averaged into the rate.
3. Minimum order
A minimum order value applies and is different for local delivery and outstation, because transport costs differ. The applicable amount is confirmed with your rate list before you order.
The minimum is in your interest as much as ours. Below it, transport minimum charges make the freight a large share of your order value and buying from us stops making sense for you. We will say so plainly rather than take the order.
4. Payment
Outstation orders are supplied against full advance payment. A proforma bill is sent before payment so you know exactly what you are paying for.
Credit terms may be given to regular customers at our discretion and are confirmed in writing. Goods remain our property until payment is received in full.
5. Transport and booking
Where you ask us to arrange transport, we do so as your agent. We choose a reputable transport company suited to your route and book on your behalf.
Transport is charged at actual cost and shown as a separate line on the bill. We add no margin. Where a transport company offers to-pay booking, you may pay them directly on delivery instead; any extra handling charge they levy for this is payable by you.
Where both are available, we quote collection from the transport office and door delivery so you can choose.
6. Risk in transit
Risk in the goods passes to you when they are handed to the transport company, whether booked by you or by us on your behalf. This is the normal position in wholesale supply and reflects that the goods are yours from that point.
Because of this we recommend insurance on every outstation parcel and say so on every quote.
Delivery times quoted are indicative and not guaranteed. We are not liable for delay, loss or damage caused by a transport company, or for events outside our reasonable control.
7. Insurance
We offer transit insurance on every parcel, arranged at actual cost and shown as a separate line so you can accept or decline it. It usually adds a small fraction of the order value.
If you decline insurance, the parcel travels uninsured at your risk. We record your instruction.
8. Before despatch
Every parcel is weighed and photographed before booking. We send you that record along with the LR number, batch details and expiry information on the day it is despatched.
9. Shortage, damage and claims
Check the parcel at the time of collection or delivery, before signing. Any shortage or damage must be written on the transport company's LR at that moment and reported to us within 48 hours with photographs.
A claim without the transport company's remark on the LR cannot be pursued, because they will not accept it. This is the single most important thing to get right at the time of receipt.
Where a valid claim exists we follow it up with the transport company and, if insured, with the insurer, on your behalf and keep you informed. The claim is legally yours; the follow-up work is ours.
For fragile items, breakage up to 5% is normal in transit and is not treated as a claim. We tell you which items this applies to before you order them.
10. Collection and demurrage
Where a parcel is booked for collection, you are responsible for collecting it from the transport office within the free period they allow. Demurrage, storage or return charges after that period are payable by you.
11. Product quality
We supply company-sealed packs from current batches with good expiry remaining. Where an item is running shorter than usual, we tell you before despatch and agree it with you.
Where a problem relates to the manufacture, composition or condition of a sealed pack, we take it up with the manufacturer on your behalf with batch numbers and bill references. We do not open or alter packs, and we are not the manufacturer of the goods we supply.
12. Stock rotation
Some manufacturers allow unsold stock to be returned close to expiry. Where a manufacturer's terms allow it, we pass that benefit on to you on this basis:
- Written approval from us before anything is sent back
- Original, unopened, sealed packs in saleable condition
- Traceable to one of our bills
- Return transport paid by you
- Value given as a credit note against your next order
This varies by company and by item and is not available on everything. Ask us about the specific items on your list and we will tell you honestly what is possible. Where a manufacturer does not allow returns, we cannot offer them.
13. Returns we cannot accept
Change of mind, taste preference, over-ordering or a menu change. Goods opened, decanted, repacked, relabelled or stored badly. Goods that cannot be traced to one of our bills.
14. Special orders
Goods brought in specially to your requirement cannot be cancelled or returned once we have confirmed the purchase, unless they do not match what was agreed. Delivery times for such orders are estimates and depend on supplier availability. We make this clear before we start.
15. Storage after delivery
Products must be kept cool, dry, sealed and away from sunlight, moisture and strong smells, in their original packs. We are not responsible for spoilage caused by storage conditions after delivery or collection.
16. Resale
Goods are supplied for kitchen use or resale in original sealed packs. They must not be repacked, relabelled or altered. Where a maximum retail price is printed on the pack, it must not be exceeded.
17. Cancellation
Orders may be cancelled before despatch, and any payment made is refunded after deducting bank or transaction charges actually incurred. Once a parcel has been booked with transport it cannot be cancelled, and transport already incurred is not refundable.
18. Limit of liability
Our liability on any parcel is limited to the invoice value of the goods concerned. We are not liable for indirect or consequential loss, including loss of profit or business interruption.
19. Governing law
These terms are governed by the laws of India, and the courts at Bengaluru have exclusive jurisdiction.
